For more than 4 years, Orianna Health Systems and its various subsidiaries and affiliates (together, “Orianna”) have continued to evolve to meet the needs and growing demands of our expanding business. We have worked hard to continually improve our business and ensure we are delivering on our promises to the many residents and families who depend on the quality care provided by the dedicated staff of our facilities, and we are proud of what we have accomplished together. Notwithstanding all of the steps taken, however, it has become clear that in order to continue moving forward, Orianna needs to be financially restructured. As such, on March 6, 2018, we took the next steps in this ongoing process by voluntarily initiating Chapter 11 bankruptcy cases to implement a comprehensive financial restructuring. Our management team decided this was the best path forward for our company and is confident in our ability to use this orderly, proven process to achieve a comprehensive debt solution as efficiently as possible by implementing an agreed-upon transition of 22 of Orianna’s facilities to operators designated by, and which have a long-standing, pre-existing relationship with, Omega (Orianna’s landlord) and the remaining 20 facilities to be restructured under a Chapter 11 plan of reorganization.

Please know that during the restructuring, our top priority remains the same: ensuring that we surpass our residents’ needs and expectations with the empathy, compassion, dignity and integrity that you have come to expect from Orianna. The pending bankruptcy cases will not have an impact on normal day-to-day operations and our dedicated employees will continue to focus on providing the quality, resident-focused care that our residents require and deserve.
